Rajesh Power Services Forms Wholly Owned Subsidiary to Expand into BESS and Transmission Projects

Rajesh Power Services Limited (RPSL) has incorporated a 100% wholly owned subsidiary, Rajesh Power Projects Private Limited, to undertake Battery Energy Storage Systems (BESS) and other transmission and distribution-related projects.

The newly incorporated entity has been established with a subscribed capital of ₹1,00,000, divided into 10,000 equity shares of ₹10 each. As a fresh incorporation, the company has not yet commenced business operations and currently reports nil turnover.

According to the regulatory disclosure submitted to BSE Limited under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the subsidiary will focus on power, EPC, and transmission-related activities, with a specific emphasis on Battery Energy Storage Systems and associated transmission and distribution infrastructure projects.

The incorporation of the subsidiary constitutes a related party transaction by virtue of the holding-subsidiary relationship. However, the promoter and promoter group of Rajesh Power Services Limited do not have any direct interest in the newly formed entity, except to the extent of their shareholding in the parent company.

The consideration for the acquisition is through cash subscription to the initial share capital, as per the incorporation documents. Rajesh Power Services Limited holds 100% shareholding and control in the subsidiary, making it a wholly owned entity.

No governmental or regulatory approvals were required for the incorporation. As the entity has been newly incorporated in India on February 28, 2026, details of turnover for the last three years are not applicable.
