PTC India Limited is set to undergo a significant board and promoter restructuring following a directive from the Ministry of Power, Government of India. Under the proposed changes, NTPC will become the sole promoter of the company, while existing promoters Power Finance Corporation (PFC), POWERGRID, and NHPC will withdraw their nominee directors and relinquish their promoter rights.

The Board of Directors of PTC India, at its meeting held on Friday, took note of an Office Memorandum issued by the Ministry of Power on January 16, 2026. The memorandum outlines key modifications to PTC India’s promoter structure and board composition, in line with the company’s Articles of Association.

As per the directive, PFC, POWERGRID, and NHPC will formally communicate their intent to withdraw their respective nominee directors from PTC India’s Board and give up their promoter status. Following the implementation of these changes, the three entities will seek reclassification as non-promoters.

The restructuring also includes a change in the company’s top leadership framework. The current combined role of Chairman and Managing Director (CMD) will be split into two separate positions—a Non-Executive Chairman and an Executive Managing Director (MD). The existing CMD will assume the role of Non-Executive Chairman, while the CMD (PTC) will be redesignated as Managing Director (PTC).

To operationalize the proposed changes, amendments to PTC India’s Articles of Association will be required. An Executive Director (CP&BD) from NTPC has been designated as the Nodal Officer to coordinate and oversee the implementation of the restructuring process.
