Adani Enterprises JV Incorporates Wholly Owned Step-Down Subsidiary in Power Transmission

Adani Enterprises Limited has informed the stock exchanges about the incorporation of a wholly owned step-down subsidiary by AdaniConneX Private Limited (ACX), its joint venture, strengthening its presence in the power transmission segment.

The newly incorporated entity, Navi Mumbai Power Transmission Limited (NMPTL), has been established as a wholly owned subsidiary by an existing subsidiary of ACX. The company received confirmation of the incorporation on February 16, 2026. NMPTL was incorporated in India on February 16, 2026, and is registered with the Registrar of Companies, Ahmedabad.

Navi Mumbai Power Transmission Limited has been incorporated with a subscribed capital of Rs. 1,00,000, divided into 10,000 equity shares of Rs. 10 each. The company is yet to commence business operations and currently reports nil turnover. Through ACX, Adani Enterprises Limited indirectly holds a 50 percent stake in NMPTL.

The entity operates in the power transmission industry and has been formed to carry out the business of electric power generation and transmission. As the company has just been incorporated, details relating to the last three years’ turnover are not applicable.

The disclosure was made pursuant to Regulation 30 read with Para A of Part A of Schedule III of the SEBI Listing Regulations and in accordance with the relevant SEBI circular dated January 30, 2026.

The company clarified that aspects such as related party transactions, governmental or regulatory approvals, an indicative timeline for completion, the nature of consideration, and the cost of acquisition are not applicable in this case, given the nature of incorporation.
