REC Incorporates Three Power Transmission Subsidiaries for Renewable Energy and Grid Infrastructure Projects

REC Limited has announced the incorporation of three wholly owned subsidiary companies under REC Power Development and Consultancy Limited (RECPDCL) to facilitate the development of interstate and intrastate power transmission infrastructure, including projects associated with renewable energy evacuation in Rajasthan and a high-voltage substation in Uttar Pradesh.

According to REC Limited’s regulatory filing dated October 23, 2026, the newly incorporated entities are Bikaner V Part D Power Transmission Limited, Bikaner V Part C Power Transmission Limited and YEIDA Power Transmission Limited. All three companies were incorporated on October 23, 2026, and are wholly owned subsidiaries of RECPDCL, which is itself a wholly owned subsidiary of REC Limited.

Transmission Projects to Support Rajasthan Renewable Energy Zone

Bikaner V Part C Power Transmission Limited and Bikaner V Part D Power Transmission Limited have been established for transmission schemes aimed at evacuating power from the Rajasthan Renewable Energy Zone (REZ) Phase IV, Part 6, covering 6 GW of capacity in the Bikaner Complex under Bikaner V, specifically Parts C and D.

The Ministry of Power, Government of India, allocated the interstate transmission projects through a Gazette notification dated June 19, 2026, appointing RECPDCL as the Bid Process Coordinator (BPC). Following the selection of successful bidders under the Tariff-Based Competitive Bidding (TBCB) guidelines, the respective companies will be transferred to the successful bidders along with their assets and liabilities.

YEIDA Power Transmission Limited to Support Substation Development in Uttar Pradesh

YEIDA Power Transmission Limited has been incorporated for the construction of a 400/220 kV, 3×500 MVA gas-insulated switchgear (GIS) substation in Sector 28, YEIDA, Gautam Buddh Nagar, Uttar Pradesh, along with associated transmission lines and bays.

Uttar Pradesh Power Transmission Corporation Limited allocated the intrastate transmission project through a letter dated August 10, 2026, appointing RECPDCL as the Bid Process Coordinator. As with the Rajasthan projects, the company will be transferred to the successful bidder, along with its assets and liabilities, following the selection process under the TBCB guidelines.

Ownership and Financial Details

REC Limited stated that the three companies are its subsidiaries under Section 2(87) of the Companies Act, 2013, through RECPDCL. The entities belong to the power sector and were newly incorporated at the time of the filing; consequently, their turnover was not applicable as they had yet to commence business.

The consideration for the acquisition is structured as a 100% subscription to the equity share capital in cash, at face value. The shareholding in each entity is 100%.

The regulatory filing also states that the companies are related parties of REC Limited through their ownership by RECPDCL. The promoter, promoter group and group companies have no interest in the entities beyond the extent of their shareholding.

RECPDCL undertakes the role of Bid Process Coordinator for the selection of transmission service providers through the TBCB process for independent interstate and intrastate transmission projects assigned by the Ministry of Power and state governments.
